Our Corporate & Finance team has advised the shareholders of X2 (UK) Ltd, one of the UK’s fastest-growing fourth-party logistics (4PL) providers, on the sale of the business to northstarr, the technology-led logistics group and parent company of Pallet-Track, Sqrrl Solutions and Truckcom.

The team was led by Martyn Brierley, Partner and Head of Corporate & Finance, with support from corporate solicitor George Ottewell, acting on behalf of the selling shareholders throughout the transaction.

Hinckley-based X2 has experienced significant growth since the Covid-19 pandemic, establishing itself as a leading provider of managed logistics solutions. The acquisition sees X2 join the northstarr group, which also comprises pallet network operator Pallet-Track, flexible warehousing specialist Sqrrl Solutions and transport management technology provider Truckcom.

The transaction provides X2 with access to a broader range of logistics capabilities, enhanced technology solutions, warehousing infrastructure and opportunities for international expansion, while enabling the business to continue its ambitious growth plans as part of a larger group.

Martyn Brierley said:

“X2 has built an impressive reputation and achieved exceptional growth in a highly competitive sector. This transaction represents an exciting next chapter for the business and provides a strong platform for continued expansion as part of the northstarr group. It was a pleasure to work with Ian and the other shareholders on this deal, and we wish the management team every success as they embark on the next phase of the X2’s growth journey.”

Ian Cramb, Managing Director of X2, said:

“Martyn’s responsiveness, commercial judgement and ability to build constructive relationships with all parties were instrumental in delivering a successful transaction. Flint Bishop’s Corporate team combined technical expertise with pragmatic advice, ensuring momentum was maintained throughout. We valued not only the quality of Flint Bishop’s legal support, but also how straightforward and enjoyable they were to work with. I wouldn’t hesitate to recommend Martyn and his team to anyone else who was looking for legal support with the sale of their business.”

The transaction highlights Flint Bishop’s continued strength in advising selling shareholders, of owner-managed businesses on their partial or full exit strategy, across a wide range of sectors.
