Derby law firm Flint Bishop has advised residential care company Inspiring the Next Generation Ltd on its merger with the child services division of Rushcliffe Care.
The merger has created the Esland Group, which stands for Eat Sleep Learn Achieve Nurture Dream. It specialises in caring for and educating young people with emotional, behavioural and learning difficulties.
The merger was very important as whilst Inspiring the Next Generation Ltd (which traded as Turnaround Care) had excellent residential and educational facilities, it was facing operational challenges that were restricting its growth.
The child services division of Rushcliffe Care’s child services division (which traded as Boutlers) was in a similar position so the merger made perfect sense, creating one stronger organisation with greater opportunity for development.

“The deal exchanged almost a year prior to completion. We therefore had to balance the need to tie the parties in with the flexibility required when negotiating deal documents a year in advance of completion.
