Rachel Bennett specialises in guiding clients through corporate transactions with robust advice and minimal disruption. She advises a range of organisations, from owner-managed businesses through to listed PLCs, on acquisitions and disposals, management buy-in and buy-outs, reorganisations and early-stage equity funding.

She has built strong working relationships with business transaction advisors such as accountants, tax specialists and financiers, offering clients a collaborative approach that achieves the best and most efficient outcome for them.

Having acted for both the sellers and buyers of businesses, Rachel can identify what are sometimes conflicting interests and help clients to find appropriate solutions.

Rachel has considerable experience advising shareholders and partners on realising the value of their businesses through selling shares, expanding their business through acquisitions and supporting their growth plans through equity funding or reorganising business structures as part of growth or exit plans.

She also advises shareholders and partners on regulating their relationships between each other through the use of shareholders agreements, partnership and limited liability partnership agreements, articles of association and cross-option agreements.

Rachel advises a wide range of clients but has notable experience in the motor, retail, care, veterinary and software sectors. Rachel also regularly advises schools, academies, multi-academy trusts and colleges on academisation, rebrokerage and governance advice.

She has specialised in corporate work since qualifying, completing her Bachelor of Laws at the University of Hull, her Legal Practice Course at the Birmingham College of Law and her Masters in International Relations at the University of Nottingham.

Rachel has been recognised as a ‘Recommended Lawyer’ by The Legal 500 since 2017.
