Liqui-Box, an industry-leading flexible packaging solutions provider, was subject to an investigation by the Competition and Markets Authority in connection with its $585 million acquisition of part of DS Smith PLC.

The disposal to Peak Packaging gives effect to undertakings entered into by Liqui-Box with the Competitions and Markets Authority.

Partner and lead corporate finance advisor on the deal, Rachel Bennett, worked alongside Peak Packaging’s anti-trust specialists, Gibson, Dunn & Crutcher, to ensure that the deal was structured in a way that was acceptable to the Competition and Markets Authority. Head of commercial, David Miller, also provided advice to Peak Packaging regarding ongoing contractual arrangements connected with the deal.

Rachel commented on the deal:

“The backdrop of the CMA investigation made this an unusual and exciting transaction. Peak Packaging was not on a specific acquisition trail when this opportunity presented itself, so it is impressive to see how quickly Robert and the team at Peak were able to make this deal happen, particularly in the tight timescales set by the CMA.”

Robert Wheatley, Owner and CEO of Peak Packaging, commented on their latest acquisition:

“This transaction was always going to be a challenge due to the tight deadlines set by the Competition and Markets Authority. Rachel Bennett and David Miller delivered on the timescales and showed great dedication to getting the deal done. They quickly understood the commercial drivers for the deal and provided pragmatic advice to suit.”
